Terms of Service

You signed up for one of our products: AutoSync AI, SEO Handoff, Computer Spy AI, Pristine Site, or AccessGuard. By using it, you and Computer Spy AI LLC agree to the following.

1. What we promise

The service works as described. What you see on the marketing page is what you get. If we promise auto-reply within 60 seconds, that's our target.
Reasonable uptime. We aim for 99.5% monthly uptime on the hosted dashboard. Cloud automations (Gmail send, Calendar) inherit Google's uptime — we can't do better than them.
We'll fix bugs. When you tell us something is broken, we look. Critical bugs (your auto-reply stopped) get fixed within 24 hours. Minor bugs within a week.
We won't change pricing on you mid-contract. If you signed up at $299/mo, you stay at $299/mo for the duration of your subscription, even if our public pricing goes up.

2. What you promise

Pay what you owe. Stripe handles billing. Failed payments get one retry; if both fail, the service pauses (your data isn't deleted) until you fix the card.
Don't use the service to break the law. No spam, no malware delivery, no harassment, no fraud, no human trafficking. Obvious stuff.
Don't reverse engineer or resell. The agent code, the catalog, the AI prompts — these are ours. You can use them; you can't take them and start a competing service.
Tell the truth in onboarding. If you're a HIPAA-covered entity and don't flag yourself as such, that's on you.

3. Cancellation and refunds

You can cancel anytime — one click in your dashboard or one email to us.
You keep service through the end of the current billing period (no pro-rata refund for time used).
30-day money-back guarantee. If AutoSync hasn't booked you a single appointment in your first 30 days, fill out our short feedback form (what you tried, where it fell short, what would have made it work) and we refund every penny within two business days of submitting it. The form exists so we can fix the gap for the next operator — not as a hurdle.
30 days after cancellation we permanently delete your data. Email us if you want it sooner.

4. Liability

We'll do our best, but software breaks. Our maximum liability for any claim related to the service is 3 months of fees you've paid us, regardless of theory (contract, tort, statute). We're not liable for indirect or consequential damages (lost profits, data, opportunity).

If our service has a bug that causes your auto-reply to send something wrong, that's on us — refund or fix. If our service has a bug that causes you to lose a million- dollar deal, we're sympathetic but not financially responsible beyond the cap above. (This is the standard limitation across the SaaS industry.)

5. Indemnification

You agree to defend us against claims arising from your misuse of the service (e.g., using it to spam, sending illegal content via auto-reply, processing PHI without flagging your account as HIPAA). We agree to defend you against claims that the service itself infringes someone's IP.

6. Intellectual property

Your data is yours. Calendars, contacts, emails, documents — yours, always. We're a custodian; you're the owner.
The product is ours. The agent, the catalog, the orchestrator, the AI prompts — Computer Spy AI LLC's IP. You get a license to use, not own.
Anything you submit as feedback (bug reports, feature requests) — we can use freely without owing you anything. If you want a paid integration we should build, send a separate proposal.

7. Changes to these terms

We can update these terms with 30 days' email notice. If you don't agree to the new terms, you can cancel and get a pro-rata refund of any prepaid annual amount.

8. Governing law

These terms are governed by the laws of the State of New York, USA. Disputes go to arbitration in New York unless either party prefers small-claims court (under $10K). You waive class-action rights.

9. Beta features

Sometimes we ship a feature labeled "Beta" or "Preview." Those are best-effort, may break, and the warranties above don't apply. We'll tell you clearly when something is Beta.
